The Defense Security Cooperation Agency notified Congress (link opens a PDF) Tuesday of plans to sell the Saudi Arabian military a fleet of 30 armed, Mark V patrol boats.

The proposed sale, which includes spare parts, training services, logistical support, and 32 cannons firing 27mm rounds, is valued at a total price of $1.2 billion. No primary contractor has yet been identified for the sale, but small, privately owned boat-builders such as United States Marine, Halter Marine, and Hodgdon Yachts have been known to build such boats for U.S. and foreign buyers in the past. The Mark V is an aluminum boat also used by U.S. Navy SEALs.

The DSCA justifies the sale by noting that the "Mark V patrol boats will give the Royal Saudi Naval Forces (RSNF) an effective combat and threat deterrent capability to protect maritime infrastructure in the Saudi littorals. This acquisition will enhance the stability and security operations for boundaries and territorial areas encompassing the Saudi Arabian coastline [and] will enhance interoperability between the U.S. and the Kingdom of Saudi Arabia."

It owns and operates a fleet of 17 Aircranes, which it uses to support a variety of government and commercial customers worldwide across a range of aerial services, including firefighting, timber harvesting, infrastructure construction, and crewing. The Aircrane is capable of providing heavy-lift solutions to a wide variety of industries, including firefighting, timber harvesting, infrastructure construction, oil and gas and energy related construction, disaster recovery, and emergency response. It leases its aircraft to customers for specific missions, with customers generally paying for the aircraft, maintenance, and crewing services, as well as fuel expense. Under its firefighting contracts, aircraft are deployed to locations prone to seasonal fires and remain on standby throughout the fire season. For these contracts, which it refers to as exclusive-use contracts, it typically charge on a per-day basis for availability and on a per-hour basis for actual aircraft use.

Aircrane is engaged in timber operations in a number of regions, including the United States, Canada, and the tropical forests in Malaysia. The Aircrane's rear load-facing pilot seat makes the aircraft particularly for infrastructure projects that require extreme precision in load delivery, such as electricity transmission and broadcasting towers, oil and gas pipelines, wind turbines, mining conveying systems, industrial equipment, emergency shelters, and ski-lift equipment. The Aircrane can be configured to transport heavy machinery and equipment, such as heating, ventilating, and air conditioning (HVAC) units, automotive equipment, and other cargo items.

Aircraft Manufacturing and Maintenance, Repair, and Overhaul (Manufacturing/MRO)

The Company manufactures Aircranes and related components for sale to government and commercial customers and provide aftermarket support and maintenance, repair, and overhaul services for the Aircrane and oth! er aircra! ft. It also offers cost per hour (CPH) contracts pursuant to which it provides components and expendable supplies for a customer's aircraft at a fixed cost per flight hour. Like much of the mutual fund industry, our Oakmark Funds had higher than normal capital gains distributions in 2014. Going into year six of the market advance, there just weren't many losses left to offset the gains realized on stocks we sold. The Oakmark Select Fund, with a distribution of 12% of its value, unfortunately made some lists of tax-unfriendly funds due to its double-digit distribution. Oakmark Select's 2014 performance benefited from three mergers: DirecTV (DTV) being acquired by AT&T (T), Forest Laboratories (FRX) by Actavis (ACT) and TRW Automotive Holdings (TRW) by ZF Friedrichshafen. A year ago those three acquirees accounted for 18% of the Oakmark Select portfolio, and their sales accounted for the majority of our gains. Unless we wanted to hold stock in the acquiring companies, there simply wasn't a good way to avoid recognizing those taxable gains. But given the disconnect between our large distributions this year and our claims to be a tax-sensitive fund family, an explanation might be helpful.

Mutual funds are one of the only securities that require owners to pay capital gains before they sell their shares. Every mutual fund annually has to total up the capital gains it realized during the year and distribute the net gain proportionately to its shareholders. The shareholders are taxed currently on that gain despite not selling their shares. When a shareholder does eventually sell, the gain on sale is reduced by the amount of the gains recognized each year that the shares were held. In the end, capital gains taxes are paid on the exact amount of the total gain, but some of that gain was "prepaid" via the annual taxable distributions.

As an aside, I believe mutual funds present a great opportunity for tax simplification. Given that many investors now have a short-term outlook (most Oakmark investors aside, thankfully), the value to the government of the "prepayment" is trivial relative to the record-keeping costs it generates. Taxing fund shareholders only when they sell shares would cost the government next to nothing, reduce administrative expenses and encourage fund investors to improve their own performance by reducing their turnover. But alas, for now the rules are what they are.

At Oakmark our goals are to maximize long-term returns and—more specifically—to take every reasonable opportunity to maximize after-tax returns when those actions don't harm our tax-free shareholders. Some funds that claim to be "tax-efficient" focus so much on minimizing taxes that they also inadvertently reduce their returns. We want to minimize the hole in the donut that is lost to taxes, but do so without reducing the size of the donut.

One of the most obvious ways we reduce shareholders' tax burden is by using our long-term approach, which typically produces long-term gains. For most individuals long-term capital gains are taxed at less than half the rate paid on short-term gains. Based on distributions paid last year, over 20% of the average mutual fund capital gain distribution was short-term gain. The Oakmark Fund has paid out nearly $15 per share in gains since 2000. Of that, only $0.08 was short-term gain, about half of one percent. Since its inception in 1996, Oakmark Select has distributed $0.56 of short-term gain, a little over 2% of total gains. When our stocks appreciate quickly and hit sell targets before we've held them for a full year, unless we see unusually high risk in continuing to hold, we will generally wait to sell until our holding period exceeds one year so that we get the less expensive long-term gain rate. You might wonder why our Global Select Fund would keep such a small position in Medtronic. The answer is that we have a nice gain in those shares and that they have not yet turned long-term.

In some cases when a company gets a stock acquisition offer—as one of our holdings, Forest Laboratories, did earlier this year—we protect the gain while we wait for shares to turn long-term by selling shares of the acquirer short. Mutual funds generally don't engage in short sales because they are perceived to be higher risk, but in this case, we believe the short sale both reduces taxes and risk.

We also capture tax losses to net against our gains. We look at our holdings by tax lot and will routinely sell any individual tax lot that has a loss of 20% or more. Many value funds don't take this step because value investors typically believe stocks that have gone down in price have become more attractive. Though we often agree, when we have a loss to capture, we will either sell some shares immediately and repurchase in 31 days (to avoid wash sales rules) or buy more immediately and sell those shares in 31 days. We do this throughout the year, which allows us to maintain our core positions in the stocks we believe are most attractive while still capturing losses and reducing our net gain. Further, we believe this benefit to our taxable shareholders has been achieved without harming our tax-free holders. So when you see our portfolio turnover spike, as when the Oakmark Fund's hit 62% in the 2009 turmoil, check to see if we might be engaging in tax-loss selling before you conclude we've abandoned our long-term approach.

Another way we seek to capture losses is to replace losing stocks with similar, but equally attractive, stocks. An example in the Oakmark Fund from this past quarter was selling our remaining Cenovus (CVE) shares and redeploying the proceeds into Chesapeake (CHK).     Another under-$10 stock that's starting to trend within range of triggering a major breakout trade is Sucampo Pharmaceuticals (SCMP), which is engaged in the discovery, development and commercialization of proprietary drugs based on prostones, and other novel drug technologies. This stock is off to a decent start in 2013, with shares up by 26%.

    If you take a look at the chart for Sucampo Pharmaceuticals, you'll notice that this stock has been downtrending badly for the last four months, with shares dumping hard from its high of $10.48 to its recent low of $5.40 a share. During that downtrend, shares of SCMP have been consistently making lower highs and lower lows, which is bearish technical price action. That said, the downside volatility for SCMP looks to be over in the short-term since the stock has started to reverse its downtrend and enter an uptrend. That reverse is quickly pushing shares of SCMP within range of triggering a major breakout trade above a key downtrend line.

    Trade! rs should now look for long-biased trades in SCMP if it manages to break out above some near-term overhead resistance levels at $6.33 to $6.66 a share with high volume. Look for a sustained move or close above those levels with volume that hits near or above its three-month average action of 115,383 shares. If that breakout triggers soon, then SCMP will set up to re-test or possibly take out its next major overhead resistance levels at $7.09 to $7.67 a share. Any high-volume move above those levels will then give SCMP a chance to tag $8 to $9 a share.

    Traders can look to buy SCMP off weakness to anticipate that breakout and simply use a stop that sits right below some key near-term support levels at $5.58 to $5.40 a share. One can also buy SCMP off strength once it clears those breakout levels with volume and then simply use a stop that sits a comfortable percentage from your entry point.

    Kinder Morgan is a pioneer in the rapidly growing niche of energy master limited partnerships (MLPs). But the company reversed course this week, and announced that it will put all of its MLP assets into its traditional C corporation, Kinder Morgan Inc. (NYSE: KMI).

    Kinder Morgan’s various companies operate a huge network of “midstream” assets: pipelines and terminals that move and store oil and natural gas. The company is a direct, lower-risk beneficiary of the new energy boom in the U.S.

    In a $44 billion deal, general partner Kinder Morgan Inc. (KMI) will acquire the outstanding shares of Kinder�Morgan Energy Partners LP�(NYSE: KMP), Kinder Morgan Management LLC�(NYSE: KMR) and�El Paso Pipeline Partners LP�(NYSE: EPB).

    The new Kinder Morgan Inc. (KMI) will have an estimated enterprise value of about $140 billion��100 billion of market value and $40 billion of debt��aking it the third-largest energy company in the U.S., after ExxonMobil and Chevron.

    As of the announcement, the deal valued KMP and KMR at $90 per unit, and EPB at $39. All are significant premiums over their prices before the announcement. However, KMP, KMR and EPB now are trading well above those levels, as is KMI.

    Richard Kinder, co-founder and chief executive of Kinder Morgan, basically set in motion the increasingly popular MLP structure in the 1990s. MLPs pay no corporate taxes and distribute their profits to unit holders.

    MLPs over time have delivered high, growing payouts, which have fueled price appreciation too. The number of MLPs has grown from just 38 a decade ago to 120 now, with a combined market value of some $600 billion.

    But KMP, the biggest MLP of all ($45 billion market value), in particular has had two problems. MLPs need to constantly buy or build new assets in order to keep increasing their high distributions to investors. But KMP had grown so large that it was hard to find suitable targets.

As of February 22, 2012, the equipment owned or operated by the marine transportation segment consisted of 819 inland tank barges, 236 inland towboats, 59 coastal tank barges, 65 coastal tugboats, fits offshore dry-cargo barges, fits offshore tugboats and one docking tugboat. The 236 inland towboats, 65 coastal tugboats, fits offshore tugboats and one docking tugboat provide the power source and the 819 inland tank barges, 59 coastal tank barges and fits offshore dry-cargo barges provide the freight capacity for the marine transportation segment. The Company�� coastal and offshore tows consist of one tugboat and one tank barge or dry-cargo barge.

During the year ended December 31, 2011, the Company�� inland marine transportation operation moved over 50 million tons of liquid cargo on the United States inland waterway system. Products transported for its customers along the inland waterway system consisted of petrochemi! cals, bla! ck oil products, refined petroleum products and agricultural chemicals. Bulk liquid petrochemicals transported include, such products as benzene, styrene, methanol, acrylonitrile, xylene and caustic soda, all consumed in the production of paper, fibers and plastics. During 2011, the transportation of petrochemical products represented 59% of the segment�� revenues. Customers shipping these products are refining and petrochemical companies. Black oil products transported include products, such as asphalt, residual fuel oil, No. 6 fuel oil, coker feedstock, vacuum gas oil, carbon black feedstock, crude oil and ship bunkers (engine fuel). During 2011, such products represented 20% of the segment�� revenues. During 2011, refined petroleum products transported include the various blends of finished gasoline, gasoline blendstocks, jet fuel, No. 2 oil, naphtha, heating oil and diesel fuel, and represented 16% of the segment�� revenues. The Company also classifies ethanol in the refined petroleum product category. Customers are oil and refining companies, marketers and ethanol producers.

During 2011, agricultural chemicals transported represented 5% of the segment�� revenues. They include anhydrous ammonia and nitrogen-based liquid fertilizer, as well as industrial ammonia. Agricultural chemical customers consist of domestic and foreign producers of such products. As of December 31, 2011, the marine transportation segment operated a fleet of 819 inland tank barges and 236 inland towboats, as well as 59 coastal tank barges and 65 coastal tugboats. The segment also owns and operates fits offshore barge and tug units transporting dry-bulk commodities in coastal trade. The Canal ! fleet tra! nsports petrochemical feedstocks, processed chemicals, pressurized products, black oil products and refined petroleum products along the Gulf Intracoastal Waterway, the Mississippi River below Baton Rouge, Louisiana, and the Houston Ship Channel. The Linehaul fleet transports petrochemical feedstocks, chemicals, agricultural chemicals and lube oils along the Gulf Intracoastal Waterway, Mississippi River and the Illinois and Ohio Rivers. Loaded tank barges are staged in the Baton Rouge area from Gulf Coast refineries and petrochemical plants, and are transported from Baton Rouge to waterfront terminals and plants on the Mississippi, Illinois and Ohio Rivers, and along the Gulf Intracoastal Waterway. The River fleet transports petrochemical feedstocks, chemicals, refined petroleum products, agricultural chemicals and black oil products along the Mississippi River System above Baton Rouge. Petrochemical feedstocks and processed chemicals are transported to waterfront petrochemical and chemical plants, while black oil products, refined petroleum products and agricultural chemicals are transported to waterfront terminals.

The marine transportation inland operation moves and handles a range of cargoes. As of December 21, 2011, of the 819 inland tank barges operated, 618 were petrochemical and refined products barges, 123 were black oil barges, 63 were pressure barges, 10 were refrigerated anhydrous ammonia barges and five were specialty barges. Marine transportation services for inland movements are conducted under long-term contracts, ranging from one to five years. Kirby Inland Marine, LP (Kirby Inland Marine) operates commercial tank barge fleeting service (temporary barge storage facilities) in ports, including Houston, Corpus Christi and Freeport, Texas, Baton Rouge and New Orleans, Louisiana and other locations on the Mississippi River. Included in the fleeting service is a 51% interest and management control of a shifting operation and fleeting service for dry cargo barges and tank barges ! on the Ho! uston Ship Channel. Kirby Inland Marine provides service for its own barges, as well as outside customers, transferring barges within the areas noted, as well as fleeting barges.

Kirby Logistics Management (KLM) is a division of Kirby Inland Marine providing shore-based tankerman and support services to the Company and third parties. Services provided by KLM include barge tankermen, marine terminal, refinery and chemical plant dock operators, and terminal management services. KLM�� services to the Company and third parties cover the Gulf Coast, mid-Mississippi Valley, and the Ohio River Valley. The Company owns a 66% interest in Osprey Line, L.L.C. (Osprey), which transports project cargoes and cargo containers by barge on the United States inland waterway system. The segment�� coastal operations are conducted through wholly owned subsidiaries, K-Sea Transportation Partners LLC and Kirby Ocean Transport Company (Kirby Ocean Transport). K-Sea provides marine transportation of refined petroleum products and black oil products in each coastal region of the United States. The coastal operations consist of the Atlantic, New York, Pacific and Hawaii Divisions. The Atlantic Division operates along the eastern seaboard of the United States and along the Gulf Coast. The Atlantic Division vessels call on coastal states from Maine to Texas, servicing refineries, storage terminals and power plants. The Atlantic Division also operates equipment on the Great Lakes, in the Caribbean, and in Venezuela and the Eastern Canadian provinces.

The New York Division operates in the New York Harbor, close to container terminals, cruise piers, refineries and petroleum storage facilities. The New York Division also performs coastal voyages between Maine and Norfork, Virginia and manages operations in Philadelphia. The New York Division�� fleet consists of tank barges in the 10,000 to 89,000 barrel capacity range and tugboats in the 1800 to 3400 horsepower range, transporting refined petroleum produ! cts for l! ocal and regional customers, black oil products to power generation customers and the delivery of bunker fuel to ships. The Pacific Division operates along the Pacific coast of the United States, servicing refineries and storage terminals from Southern California to Washington State, throughout Alaska, including Dutch Harbor, Cook Inlet and the Alaska River Systems, and from California to Hawaii. The Pacific Division�� fleet consists of tank barges in the 13,000 to 185,000 barrel capacity range and tugboats in the 1000 to 11800 horsepower range, transporting refined petroleum products.

The Hawaii Division services local petroleum retailers and oil companies distributing refined petroleum products and black oil products between the Hawaiian islands and provides other services to the local maritime community. As of December 31, 2011, the Hawaii Division�� fleet consisted of tank barges in the 52,000 to 86,000 barrel capacity range and tugboats in the 1200 to 7200 horsepower range, transporting refined petroleum products for local and regional customers, black oil products to power generation customers, and the delivery of bunker fuel to ships. The Hawaii Division also provides service docking, standby tug assistance and line handling to vessels using the Single Point Mooring installation at Barbers Point, Oahu, a facility for tankers to load and discharge their cargos through an offshore buoy and submerged pipeline without entering the port. As of December 31, 2011, the coastal fleet consisted of 59 tank barges, 56 of which were double hull and three of which were single hull, with 3.8 million barrels of capacity, transporting refined petroleum products and black oil products. As of December 31, 2011, the Company operated 65 Company-owned coastal tugboats ranging from 1000 to 11800 horsepower. Tugboats in the 1800 to 3400 horsepower classes provide power for barges used in the New York Division. Tugboats in the 1000 to 11800 horsepower classes provide power for barges used in the Atlantic! , Pacific! and Hawaii Divisions. Kirby Ocean Transport owns and operates a fleet of fits offshore dry-bulk barges, fits offshore tugboats and one docking tugboat. Kirby Ocean Transport also has a contract with Holcim (US) Inc. (Holcim) to transport Holcim�� limestone requirements from a facility adjacent to the PEF facility at Crystal River to Holcim�� plant in Theodore, Alabama. Kirby Ocean Transport is also engaged in the transportation of coal, fertilizer and other bulk cargoes on a short-term basis between domestic ports and occasionally the transportation of grain from domestic ports to ports primarily in the Caribbean Basin.

Diesel Engines

The Company, through wholly owned subsidiary Kirby Engines Systems, Inc. (Kirby Engine Systems), is engaged in the overhaul and repair of medium-speed and high-speed diesel engines and reduction gears, and related parts sales used in marine and power generation applications, and distributes and services high-speed diesel engines and transmissions, pumps and compression products, and manufactures oilfield service equipment, including hydraulic fracturing equipment, used in land-based pressure pumping, oilfield service, power generation and transportation applications.

For the marine market, the Company sells Original Equipment Manufacturers (OEM) replacement parts, provides service mechanics to overhaul and repair engines and reduction gears, and maintains facilities to rebuild component parts or entire engines and reduction gears. For the power generation market, the Company provides service and parts capabilities and safety-related products to power generation operators and to the nuclear industry, and manufactures engine generator and pump sets for the power generation operators and municipalities. The Company expanded its diesel engine services operation with the purchase of United, a manufacturer, diesel engine and transmission distributor and service provider for the land-based oil and gas services market, oil and gas operat! ors and p! roducers, compression companies, power generation companies, on-highway transportation companies and agricultural markets. United�� principal businesses are the distribution and service of diesel engines, pumps and transmissions, the manufacture and remanufacture of oilfield service equipment, including hydraulic fracturing equipment, and the manufacture of compression equipment for natural gas transmission and for natural gas fired power generation plants.

The Company is engaged in the overhaul and repair of medium-speed and high-speed diesel engines and reduction gears, line boring, block welding services and related parts sales for customers in the marine industry. The Company services medium-speed and high-speed diesel engines utilized in the inland and offshore barge industries. It also services marine equipment and offshore drilling equipment used in the offshore petroleum exploration and oil service industry, marine equipment used in the offshore commercial fishing industry and vessels owned by the United States government. The Company has marine operations throughout the United States providing in-house and in-field repair capabilities and related parts sales. The medium-speed operations are located in Houma, Louisiana, Chesapeake, Virginia, Paducah, Kentucky, Seattle, Washington and Tampa, Florida. The operations based in Chesapeake, Virginia and Tampa, Florida are authorized distributors for 17 eastern states and the Caribbean for Electro-Motive Diesel, Inc. (EMD). The marine operations based in Houma, Louisiana, Paducah, Kentucky and Seattle, Washington are nonexclusive authorized service centers for EMD providing service and related parts sales. The Houma, Louisiana operation concentrates on the inland and offshore barge and oil services industries. The Tampa, Florida operation concentrates on Gulf of Mexico offshore dry-bulk, tank barge and harbor docking operators. The Paducah, Kentucky operation concentrates on the inland river towboat and barge operators and the Great Lake! s carrier! s. The Seattle, Washington operation concentrates on the offshore commercial fishing industry, tugboat and barge industry, the United States Coast Guard (USCG) and Navy, and other customers in Alaska, Hawaii and the Pacific Rim. The high-speed operations are located in Houma, Baton Rouge, Belle Chasse and New Iberia, Louisiana, Paducah, Kentucky, Mobile, Alabama and Houston, Texas. The Company serves as a factory-authorized marine dealer for Caterpillar diesel engines in Alabama, Kentucky and Louisiana. The Company also operates factory-authorized full service marine dealerships for Cummins, Detroit Diesel and John Deere diesel engines, as well as Allison transmissions and Twin Disk marine gears.

During 2011, the Company was engaged in the overhaul and repair of diesel engines and reduction gears, line boring, block welding service and related parts sales for power generation customers, which represented 9% of the segment�� revenues. The Company is also engaged in the sale and distribution of parts for diesel engines and governors to the nuclear industry. The Company services users of diesel engines, which provides standby, peak and base load power generation, as well as users of industrial reduction gears, such as the cement, paper and mining industries. The Company provides in-house and in-field repair capabilities and safety-related products to power generation operators from its Rocky Mount, North Carolina, Paducah, Kentucky and Seattle, Washington locations. The Rocky Mount operation is also the distributor of EMD products to the nuclear industry, the global distributor for Woodward Governor products to the nuclear industry, the global distributor of Cooper Energy Services, Inc. products to the nuclear industry, and owns the assets and technology necessary to support the Nordberg medium-speed diesel engines used in nuclear applications. In addition, the Rocky Mount operation is a distributor for Honeywell International Incorporated industrial measurement and control products to the ! nuclear i! ndustry, an distributor for Norlake Manufacturing Company transformer products to the nuclear industry and a non-exclusive distributor of analog Weschler Instruments metering products and distributor of digital Weschler metering products to the nuclear industry. The Paducah, Kentucky operation provides in-house and in-field repair services for Falk industrial reduction gears in the Midwest. The Seattle, Washington operation provides in-house and in-field repair services for Alco engines located on the West Coast and the Pacific Rim.

The Company�� power generation customers are domestic utilities and the global nuclear power industry. The Company is engaged in the distribution and service of diesel engines, pumps and transmissions, the manufacture and remanufacture of oilfield service equipment and the manufacture of compression equipment for natural gas transmission and for natural gas fired power generation plants. The Company offers a range of custom fabricated oilfield service equipment, fully tested and field ready. The Company manufactures products or components that are purchased by a company and marketed under the purchasing company�� brand name. The Company distributes, sells parts and services diesel engines and transmissions for on and off-highway use, and provide in-house and in-field service capabilities. The Company is also the exclusive distributor for Daimler for engines and related equipment in Oklahoma, Arkansas and Louisiana. The Company manufactures and re-manufacturers oilfield service equipment, including hydraulic fracturing equipment, pressure pumping units, nitrogen pumping units, cementers, hydration equipment, mud pumps and blenders. The Company also manufactures and packages custom compressor systems, including electric motor driven systems, natural gas driven systems and industrial air systems, and manufactures natural gas General Motors and Isuzu diesel-powered engines for a range of applications from 40 to 500 horsepower. The Company�� real property at its Houston terminal consists of approximately 327 acres, including 63 acres of nearby parcels that could be connected to its Houston terminal through existing owned rights-of-way. Beaumont Terminal

During 2011, it generated approximately 75% of its revenues from fixed monthly fees for storage services, which its customers pay to reserve storage space in its tanks and to compensate the Company for receiving an agreed upon average periodic amount of product volume, or throughput, on their behalf.
