Applied Materials: An Introduction Before the Merger

Applied Materials Inc. (AMAT), is An american corporation, based in Santa Clara, Calif., in the famous Silicon Valley. It provides chipmakers with the latest equipment, and tools to make state-of-the-art chips for our everyday mobile devices (processors, flash memories, computers memories, etc.) and to improve semiconductor factory efficiency. It also produces equipment for the manufacturing of flat panel displays and solar energy (solar cells and energy efficient glass) equipment.

It has four divisions. Silicon Systems Group, handles the designs, manufacturing, and sales of equipment used to fabricate semiconductor chips. Applied Global Services maintains, services and optimizes customers' display, semiconductors and solar fabs. The Displays division designs, manufactures and sells equipment used in flat panel display fabrication. And finally, Energy and Environmental Solutions designs, manufactures and handles the sales on equipment necessary in the fabrication of solar cells, modules and flexible electronics.

The company provides the manufacturers it sells its equipment to with services to improve the fabrication process, helping them become more efficient.

Advantages and Moat on AMAT

The thing is, Applied Materials doesn't specialize in one sector or portion of the production line like most its competitors do. The company has everything a chipmaker needs to fabricate a chip from scratch, like a Home Depot (HD) for chipmakers, competing in nearly every segment of the market. And as the chip industry continues to grow, the company continuously develops more and more complex equipment to meet the needs of a still flourishing market.

Applied Materials should start to benefit from the adoption of new mobile devices. In the words of the company's new CEO, Gary Dickerson (former president of Varian, a well-known chip equipment company acquired by Applied on 2012), tablets and smartphones nowadays generate more revenue than all the other semiconductors' electronics combined together. And the chip and flat panel market are also beginning to expand into other appliances of the market, such as smart TVs, cars, microwaves and even fridges, among others.

Having built a relationship over time with all the major chipmakers, Applied Materials has an advantage over its competitors, mainly based on its insight of the needs of the evolving chip industry. Thus, the company is able to develop products that better fit the technological needs of its clients; however, it needs to allocate a huge portion of its budget to research and development areas.

Risks and Downturns

The business has been a little low in the flat panel and solar industry in the past, and that's due to the cyclical nature those markets. But in the last 6 months these businesses started to grow, leaving behind the low period and starting the high end of the cycle with great perspectives — AMAT already leads the market. This strength, should make the company able to bear the low ends of the cycle over time and in the long term.

Acquisition Strategy

Gary Dickerson is following a similar acquisitions strategy to the one it had used at Varian Semiconductor in 2012. The company is currently on the process (presumably closed by second mid-term of 2014) of merging with Tokyo Electron Device Ltd. (TSE) (11% of the market share), one of the three big names in the industry. This will create a new company worth $29 billion. Combined with the 14% market share of Applied Materials, this new company would capture the biggest slice of the market share, and the broad product portfolio of both companies ensures the coverage of many segments of the market. The new company would use Tokyo Electron's material supplies to improve its costs.

Applied Materials´ holders are going to receive one share in the new company per each share they own, and Tokyo holders will receive 3.25 shares per share they own. However, Applied Materials shareholders are going to own 68% of the new company, while Tokyo stockowners will receive 32%.

- Looking at the P/S ratio, we can see it's been pretty low, making it an attractive investment.

- The F-Score is pretty high, and we can see that since the company's management has been buying back roughly $1.4 billion since 2012.

- We can appreciate the loops of the cycle in its net Income, and how it's starting the upper end recently.

- Its P/E ratio also started to improve, demonstrating again how the company could overcome and conquer those pesky down ends of the cyclic business.

Conclusion

Taking a look at the numbers, with the downturns of the cycle finally finished, and the merger plan in course, Applied is starting to look good facing the new fiscal year. Although the timing to buy is not perfect right now, the stock does look like a solid hold case, always keeping a close eye on the cycle and watching how the company weathers it. An attractive entry point could become available any time soon.

Economists still upbeat on job market

Many economists still expect the job market to pick up steam next year despite Friday's disappointing report on December payroll gains that was likely skewed by cold weather.

"To be brutally honest, the latest employment release deserves to be dismissed on the spot," Bernard Baumohl, chief global economist of the Economic Outlook Group, wrote in a research note.

The economy added just 74,000 jobs last month, the Labor Department said, fewest since January 2011. Monthly job gains had been averaging more than 200,000 from August through November.

Mark Zandi, chief economist of Moody's Analytics, says the December jobs number will likely be revised upward sharply over the next two months as more employers respond to the Labor Department's survey. And in 2014, he expects average monthly job gains of 225,000 as the housing recovery gains momentum and the effects of government spending cuts ease. That's well above the 183,000 monthly pace of both 2012 and 2013.

Severely cold weather in much of the nation appeared to have a played a role in the weak December report. In the household survey, which is used to calculate the unemployment rate, 273,000 people said they weren't able to work because of weather last month, about 100,000 more than a typical December.

"Weather was a significant factor," says Conrad DeQuadros of RDQ Economics. A telltale sign is that construction payrolls, which had been rising amid the housing recovery, fell by 16,000.

Others say weather played a more limited role. Economist Tom Porcelli of RBC Capital Markets, notes that in the survey of employers used to calculate total job gains, workers paid for even one hour during the week of the survey are counted as employed. It's unlikely that inclement weather forced large numbers of workers to take the entire week off, he says.

"More plausible is that this is just a weaker number in the context of a much stronger than typical number" in November, Porcelli says.

In other words, he says, the Decemb! er payroll advances don't reflect the state of the labor market but do temper an overall view of the market that had grown more bullish lately.

Other economists are more upbeat. Zandi, DeQuadros and Baumohl say the disappointing December report is not consistent with an armada of positive economic news lately.

Measures of manufacturing and service-sector employment rose last month, according to the Institute for Supply Management. Private payroll processor ADP said businesses added 238,000 jobs in December. Indexes of small business hiring and consumers' perception of the job market have risen. And economic growth accelerated in the second half of 2013.

"I don't think there's any fundamental weakness" in the economy, says Zandi, whose firm helps ADP compile its employment report report.

Instead, he says, the initial estimates of some Labor Department reports are simply off-base. Labor first estimated a zero change in employment in August 2011. That was eventually revised to a 132,000 gain.

How to Invest in Mortgages for Total Returns (Not Speculation)

Mortgages are an enormous market, worth $9.4 trillion in 2013, but investing directly in them can be a challenge for homeowners and renters alike.

Residential mortgage-backed securities (RMBS) have some similar characteristics, but their structure and risk-reward profiles differ from whole mortgages, which are comprised of single residential or commercial mortgages issued by a lender but not securitized.

Another key difference between RMBS and whole-mortgage is that a specific asset—a property—backs whole mortgages, says Bayard Closser, president of Vertical Capital Asset Management Group, in Irvine, Calif.

In addition, a lender can identify the borrower of a specific mortgage—it’s not an anonymous pooling arrangement. That’s important information for investors, Closser says.

“You have the ability to do very specific underwriting and analysis as to how good is the credit of the asset or of the borrower, how good is the collateral, in other words the value of the property,” he explained in an interview with ThinkAdvisor. “Then you can look at it and also do an evaluation of how much equity is in it based on what they owe and the value of the property.”

In other words, an investor can evaluate each property and borrower individually before deciding to buy a whole-mortgage note from the lender that made the original loan.

It’s a labor-intensive process, Closser notes. His firm, for instance does not have dozens of general analysts on staff, but it does have plenty of credit, underwriting and due diligence specialists. Vertical Capital Asset Management Group operates in 43 states, he adds, and uses local experts to evaluate specific properties.

Another complicating factor in whole-mortgage investing, he point out, is that mortgages are classified by payment status:

The level of analysis and amount of capital required to build a diversified portfolio of whole mortgages can keep even wealthy investors out of the market.

Recognizing these hurdles as an opportunity, the firm launched its Vertical Capital Income Fund (VCAPX), about two years ago, to acquire whole-mortgage notes.

The fund invests primarily in performing notes and had roughly $58 million of assets at year-end 2013. It is structured as a closed-end interval fund.

That format allows Vertical to offer shares continuously while raising assets. Investors can tender shares and redeem funds quarterly during the fund-raising period.

The fund takes a value-investor approach to identifying potential acquisitions, Closser explains. 

“What we want to know is if the worst case scenario happened, that we had to foreclose and quickly sell the house, what’s that value?” he said. “That’s the value that we’re looking for.”

The group looks for short sales, foreclosures and distressed sales “to get the value of the property,” Closser adds. “We want to know that we’re below that number. And, that’s where we think that the difference between that number and what we paid for the asset is ultimately what we will recover.”

Here’s a hypothetical example of that valuation process from a white paper recently published by Vertical (“A New Highly Collateralized, Non-Correlative Asset Class).

The note had an original value of $100,000, a coupon of 5% and a current value of $90,000. Vertical Capital would seek to acquire the note for $65,000, an amount that would provide the value differential that Closser references.

The fund trades on NASDAQ with a minimum investment of $5,000; $1,000 for retirement accounts. As of Jan. 31, its one-year return was 6.76% (without the 4.5% sales load) with an SEC annual yield of 5.04%.

Although the fund is positioned as an income fund, between 65% and 70% of investors reinvest their dividends, indicating that current shareholders are using the fund for a total-return play, says Closser.

The fund makes sense for conservative investors seeking to diversify beyond the traditional income-oriented asset classes, he shares: “This gives them another unit of diversification…we can provide you an above average yield with a relative degree of principal security because of the assets that we’re investing in, (that are) not correlated to many other things.”

Though it is restricted liquidity, the fund does have some liquidity to it, the executive points out. “So, it fits in there very nicely to help people raise the income on their portfolio,” he said.

Bitcoin is under attack

Cyber attackers are exploiting a Bitcoin flaw, knocking major exchanges offline.

NEW YORK (CNNMoney) Bitcoin is under attack by cybercriminals, bringing down some of the world's largest Bitcoin exchanges in the process.

Unknown attackers are exploiting a Bitcoin design flaw to record fake transactions, muddying up the Bitcoin system's public accounting and causing widespread confusion for the centers where people trade them.

The Bitcoin flaw allows these attackers to make a withdrawal from their own account and tamper with the record of that transaction. So they could cash out, but claim they never got the Bitcoins.

Here's how the Bitcoin glitch is exploited: All Bitcoin transactions are publicly recorded and set in stone every 10 minutes. But that leaves a large window for nefarious activity. In this case, attackers were making real transactions then immediately posting fake ones, confusing the exchanges' accounting programs.

Computer engineers working on Bitcoin's core functions say this kind of denial-of-service attack is inexpensive and relatively easy to pull off.

The glitch was first made public in 2011 but has not been addressed by every Bitcoin exchange. Jeff Garzik, one of Bitcoin's core developers, said some exchanges were getting duped because their software doesn't account for the flaw. That's why in the last several days, Bitstamp and Mt.Gox have halted customer withdrawals. Other exchanges have created software programs that avoid the glitch.

The attacks aren't affecting people's wallets or the amount of bitcoins held in their personal accounts, according to Bitcoin's leading advocates. People can still purchase goods with bitcoins, but many are unable to withdraw their money.

The assault, which is saturating the payment system with false information, has laid bare how unproven and fragile Bitcoin is right now.

"This exposes that Bitcoin is, at best, a beta project," said Alex Daley, chief technology investment strategist at Casey Research. "Until a system like this is in wide use for many years, you'll continue to find flaws in the implementation."

Knocking such large exchanges offline has taken a toll on what little public confidence there is left in Bitcoin. Since Mt.Gox froze withdrawals on Friday, Bitcoin prices have fallen by more than 13% to $660.

Garzik and other developers are working on fixing a related computer bug in digital bitcoin wallets. Exchanges are also working on updating their software to prevent similar attacks in the future.

The whole event is disconcerting -- but not surprising -- to everyday Bitcoin users.

Jeff Thompson is an early adopter who accepts bitcoins as payment at his martial arts school, Atlanta Kick. He owns nearly 400 bitcoins, but the vast majority are on USB flash drives at home -- the equivalent of keeping cash under the mattress. He lost faith in Mt.Gox long ago, transferring his money to Bitstamp. But he's still cautious.

"It's not FDIC insured, and you really don't know who you're dealing with," he said. "This is still the Wild West, so you do it at your own peril." To top of page

An American Casino Reaps Profits on Asian Soil

The casino industry can be one of the most rewarding business segments for investors seeking high returns on capital and long-term profits. Investment gurus Andreas Halvorsen (Trades, Portfolio) and Ken Fisher (Trades, Portfolio) recently bought fair amounts of Las Vegas Sand Corp (LVS) shares, probably due to the company's strong performance in the past years. Sand Corp is the world's largest operator of integrated resorts, with a blend of casino, hotel, entertainment, food, beverage, retail and convention centre operations. Some of the most famous company-owned venues include Sands Macao, Venetian Macao, Sands Cotai Central and Four Seasons Hotel Macao in China, as well as the Marina Bay Sands resort in Singapore and the Palazzo Las Vegas in the U.S.

The Asian Treasure Hunt

One of Sand Corp's key growth catalysts is and continues to be its presence in the Asian market, which generates 85% of the company's total revenue. China's Macao Cotai Strip has been the firm's focus for several years now, and given it's the only place in China where gambling is legal, holding a market position is crucial. Today, Sands is one of six companies licensed casino operators, and owns 50% of all gambling tables on the Strip. Furthermore, the mass market growth is significant for the company's profitability, as Sands China receives 75% of its cash flow from this segment. Projections for the future years are bright, as 2013 marked a 30% growth of the mass market, compared to the VIP market, which only registered 5% to 10% growth. Also, the company's 25% market share of the Macao Strip will grow even more after 2015, when the Parisian resort opens its doors.

Sand Corp's successful resort operations have not only assigned it a narrow moat rating, but also positively positions the firm to receive casino licenses in countries like Japan, Taiwan and South Korea, where gambling will be legalized in the near future. In fact, the company benefits from its market share in the Singapore duopoly, through the Marina Bay Sands resort venue. With 34% gaming taxes, compared to Macao's 39%, the Singapore operation is the company's fastest growing business segment, and will continue to drive excessive EBITDA margins of 53.6% until 2018, when the casino license expires. Additionally, the firm's market share in Asia sets it apart from competitors like MGM Resorts International (MGM) or Monarch Casino & Resort Inc. (MCRI)

Risks and Valuation

Although the Chinese government will maintain its gambling restrictions in the mainland over the next decade, Sand Corp's market share and leverage in fixed costs will continue to riel in strong revenue growth from this region. Fiscal 2013 marked a 24.80% revenue increase ($13.8 billion) and operating margins continue to expand at the same pace. Despite the inherent risk of an economic slowdown in Asia or a recession in the U.S., which could put a halt to leisure spending, the company is well prepared to balance out any short-term losses. The casino operator's EBITDA growth of 65.30%, for example, is an impressive result when compared to the industry's average of 4.90%.

Looking forward, earnings per share are expected to continue their fast-paced upward trend, having jumped from $1.56 in 2011 to $2.79 at the end of fiscal 2013. The 21.6% return on equity, as well as 1.80% dividend yield should also be attractive to shareholders and future investors. Although Las Vegas Sand Corp is currently trading at a 24% price premium relative to the industry average of 22.60x trailing earnings, I feel very bullish about this firm's long term profitability, given its strong market position in Asia.

    NSN is a joint venture with Siemens (SI) in the field of telecoms infrastructure. Its chief competitors are the likes of Alcatel-Lucent (ALU), Ericsson (ERIC) and yes, Huawei. As the latter is a rather opaquely-owned Chinese company, we cannot use it to help create a valuation for NSN. However, I believe using the first two companies mentioned is sufficient to give us a decent indication of NSN's true value.

    BlackBerry (NASDAQ: BBRY  ) reported a loss of nearly $1 billion today for the quarter ended Aug. 31. The mobile-device maker had already given investors the heads-up regarding this horrendous result a week ago. The $965 million loss included a $934 million writedown on inventory of its new Z10 phone, which is doing whatever the opposite of "flying off the shelves" is (the latter being an iPhone trick). However, even excluding the writedown and restructuring costs, BlackBerry still managed to lose a quarter of a billion dollars. The company still has $2.3 billion in net cash on its balance sheet, but the rate at which it is burning through the stuff will quickly undermine its flexibility.
